Terms and conditions of sale and use of kyu-tracks.com

Anyone using any work or compositions original composed by Kyu Tracks or this website (kyu-tracks.com) accepts the following Terms and Conditions.

(1) MP3-LEASE (NON-EXCLUSIVE)

The Licensee will receive a tagless mp3-file of the beat.

MP3 LEASING grants the Licensee the right to record vocal and/or instrumental synchronization to any or all parts of the Instrumental. The Licensee understands that their non-exclusive usage of the Instrumental is limited to one new composition and if the Licensee wishes to use the Instrumental in other new compositions, then the Licensee must obtain another license to use the Instrumental from the Licensor. If the beat is no more available for leasing, no more sales can be made after the sales cap is reached. The Licensee also agrees to refrain from editing the Instrumental that is being licensed in this agreement, by changing the arrangement of the Instrumental or by removing any melodies, instruments, drum programming or sounds that are contained within the Instrumental.

The Licensee is limited to distributing one (1) version of the Master Recording for profitable use. The Licensee is limited to a distribution of two thousand and fivehundred (2500) copies of the Master Recording, which can be distributed on any kind of recording media including, but not limited to: compact discs, DVDs, VHS videos, and all other forms of media.The licensee is not allowed to get profitable radio-, video- or television-airplay or to perform the song on commercial/profitable shows with a leasing license. For this purpose licensee must own exclusive rights to the beat. Licensee cannot use any beat compositions as background element in TV, Film & DVD / computer game projects without obtaining written consent & a separate license agreement. With one year from date leased beat was purchased to distribute until having to renew lease agreement.

Ownership

The Producer of the beat (“Kyu Tracks) maintains 100% full rights (copyright and ownership) of the instrumental, and can continue to sell it non-exclusively and/or exclusively. The Licensee has neither the right nor authority to sell or license the rights to the Instrumental whether in whole or part to any other party. In the event another individual purchases exclusive rights to your licensed Instrumental you will retain your non-exclusive rights under the limitations listed in this agreement and until these terms have been fulfilled.

Credit

The Licensee must give production credit to the Licensor for any and all distributed material. Licensee agrees to display the producer’s name in all physical media or within web presentation of a portion.

WAV LEASE (PRO LEASE)

Same restrictions as in point (1) including the following differences:
A) The Licensee will receive a tagless wave file of the beat.
B) The Licensee is limited to a distribution of five thousand (5000) copies of the Master Recording

TRACKOUTS LEASE (PREMIUM LEASE)

Same restrictions as in point (1) including the following differences:
A) The Licensee will receive a tagless wave file of the beat. As well as the Trackout files.
B) The Licensee will be granted to sell up to 10000 copies.
C) The Licensee is allowed to perform the song on ten (10) commercial/profitable shows with a premium leasing (Trackouts lease) license.

EXCLUSIVE RIGHTS

The Licensee will be granted the right to record vocal and/or instrumental synchronization to any or all parts of the Instrumental. The Licensor no longer retains the right to resell, or redistribute the musical composition/works stated at the top of this agreement unless given written conscent by the licensee.The Licensee has the right to edit the Instrumental that is being licensed in this agreement, by changing the arrangement of the Instrumental, altering the sound, or by removing any melodies, instruments, drum programming or sounds that are contained within the Instrumental.

The Licensee is allowed to distribute unlimited copies of the Master Recording, which can be distributed on any kind of recording media including, but not limited to: compact discs, DVDs, VHS videos, and all other forms of media.The licensee is allowed to perform the song on unlimited commercial/profitable shows and to get profitable video airplay with an exclusive rights license. The licensee is allowed to get profitable radio-, or television-airplay. Licensee cannot use any beat compositions as background element in TV, Film, DVD and/or computer game projects without obtaining written consent and a separate license agreement. The Licensor retains the right to use the works stated in this agreement for promotional and profitable/commercial purposes on Youtube.

Ownership

The Licensor maintains 100% full rights (copyright and ownership) of the instrumental. The Licensee has neither the right nor authority to sell or license the rights to the Instrumental whether in whole or part to any other party. Other individuals who had purchased non-exclusive rights to the Instrumentals stated in this agreement will retain rights under the limitations listed in their agreement until non-exclusive terms have been fulfilled. Any previous contract or lease agreement involving musical composition/work or works in this contract that was conceived prior to this agreement are no longer the responsibility of the Licensor.

PAYMENTS:

You must hold either a valid credit card, an account with an approved third party payment provider (e.g. PayPal), or any other approved payment method that the third party Network Owner notifies to you in order to pay for any Account that involves a charge.

Where charges apply, your use of the Service is and will be billed by the Network Owner in accordance with billing procedures that it notifies to you. Any and all payments are non-refundable.

When you provide the third party Network Owner with details about your chosen payment method, you are (i) representing that you are the owner (or an authorized user) of the payment method you have chosen, and (ii) confirming that the Network Owner is entitled to charge the referenced payment method for the particular subscription fee and other charges (if any) applicable to the particular payment plan that you have chosen.

You are responsible for all of the charges that are incurred as a result of your use of the Service, including, without limitation, any applicable taxes, as well as for all purchases made by you or anyone else that you authorize, allow or otherwise permit to access and use your Account(s) and/or any web page(s) or content that relates to your Account(s).


DELIVERY:

Products are not completly delivered via an automatic system – a delivery time frame of 4 days is possible. All products are delivered via e-mail or via a download link by a file-sending service.

Changes to Terms and Conditions:

Kyu-Tracks.com reserves the right to change the terms and conditions to be in compliance with the Intellectual property laws; and technological, financial and economic requirements in order to serve a better protection for the rights owners.

Please note that whilst all our files have been tested in standard media players, we can make no warranty about their compatibility with every proprietary audio software. We recommend that customers check to make sure the tracks are suitable for their playback equipment before purchasing in quantity.

We cannot make refunds on purchases because of the non-returnable nature of downloadable material. Please use the Free Downloads provided to check for suitability before buying tracks.

Please accept these terms and conditions before you proceed to download. Any infringement of these terms and conditions may lead to us execising our right to take legal action.
